    • The Corporate Counsel is responsible for providing legal counsel and support on a variety of general corporate and transactional matters.
    • Provide legal support for Company transactions, working closely with the Senior Transactions Counsel. Support includes: managing outside counsel, reviewing and negotiating transaction documents, involving and working closely with other functional personnel, coordinating due diligence, communicating with senior management, preparing board presentations and requested approvals, and assisting with closing and integration-related matters.
    • Draft, review and negotiate confidentiality agreements, letters of intent, term sheets, management agreements, joint venture agreements, purchase agreements, loan agreements and other agreements.
    • Provide legal support and service to Treasury, Accounting, Tax and other departments within the Company and represent the Legal Department on various cross-functional teams from time to time.
    • Provide legal advice on day-to-day general corporate, corporate compliance and corporate governance matters.
    • Manage miscellaneous legal projects as assigned from time to time by the General Counsel or the Senior Transactions Counsel.
    • May perform other duties as needed and/or assigned.


    • Juris Doctor degree and currently licensed to practice law in at least one (1) state.
    • Four (4) or more years of experience in an established law firm or corporate legal department; prior in-house legal experience is preferred.
    • The ideal candidate will have a strong general business law background and significant transactions experience; real estate background is a plus.
    • Strong organizational skills.
    • Excellent oral and written communication skills.
    • Strong interpersonal and relationship building skills to establish cross-functional, collaborative relationships.
    • Demonstrated leadership skills.
